Terms of Service

1. Service Description

CatchLead provides an AI-powered sales agent platform for local service businesses. The Service includes AI voice and text chat agents, lead capture, appointment booking, and related business automation tools deployed on your website.

2. AI-Generated Content Disclaimer

You acknowledge and agree that:

• No guarantee of accuracy. CatchLead does not warrant that AI-generated responses, price quotes, estimates, scheduling information, or any other content produced by the AI agent will be accurate, complete, current, or error-free.
• AI hallucinations. AI models may generate responses that sound confident but contain fabricated information, including but not limited to: incorrect pricing, inaccurate service descriptions, fictitious availability, made-up policies, or information about services your business does not actually offer.
• Not professional advice. AI-generated content does not constitute professional, legal, medical, financial, or technical advice. Users and their customers should independently verify all information provided by the AI agent.
• Your responsibility to configure. You are solely responsible for configuring your AI agent with accurate business information, pricing, service offerings, and business hours. CatchLead is not liable for errors resulting from incomplete, outdated, or incorrect configuration data provided by you.
• Your responsibility to monitor. You are responsible for reviewing conversation transcripts and correcting any errors or misleading information communicated by the AI agent to your customers. CatchLead provides dashboard tools for this purpose.
• Customer communications. You are solely responsible for all communications between the AI agent and your customers. If the AI agent provides incorrect information to your customer (including but not limited to wrong pricing, unavailable services, or incorrect scheduling), you are responsible for resolving any resulting disputes with your customers.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• CatchLead, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of business, loss of customers, loss of data, or loss of goodwill, arising out of or in connection with the use of the Service, even if CatchLead has been advised of the possibility of such damages.
• CatchLead shall not be liable for any damages arising from:
  • Inaccurate, misleading, or fabricated information generated by the AI agent
  • Pricing errors or incorrect estimates communicated by the AI agent
  • Missed appointments or scheduling errors
  • Loss of potential leads or customers
  • Decisions made by you or your customers based on AI-generated content
  • Any disputes between you and your customers arising from AI agent interactions
  • Service interruptions, downtime, or technical failures
  • Unauthorized access to or alteration of your data
• Total liability cap. In no event shall CatchLead's total cumulative liability to you exceed the amount you have paid to CatchLead in the twelve (12) months preceding the claim.

4. Indemnification

You agree to indemnify, defend, and hold harmless CatchLead and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Any content or information generated by the AI agent on your behalf
• Any disputes between you and your customers
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Inaccurate business information you provided to configure the AI agent

5. Subscription Plans & Billing

CatchLead offers subscription plans with the following general terms:

• Free trial. New accounts receive a 14-day free trial with full Pro features. No credit card is required to start a trial.
• Billing cycle. Subscriptions are billed monthly. Charges are processed through Stripe.
• Conversation limits. Each plan includes a monthly conversation limit. Once your limit is reached (plus a small grace allowance), the AI agent will stop accepting new conversations until the next billing cycle.
• Plan changes. You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle.
• Cancellation. You may cancel your subscription at any time from your dashboard. Access continues until the end of the current billing period. No refunds are issued for partial months.
• Price changes. CatchLead reserves the right to change pricing with 30 days' written notice. Continued use after the price change constitutes acceptance.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or ordinance
• Transmit or facilitate the transmission of spam, unsolicited messages, or harassment
• Impersonate any person or entity
• Collect or harvest personal information without proper consent
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the AI agent for illegal, fraudulent, or deceptive purposes
• Configure the AI agent with deliberately false or misleading business information

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of data as described therein.

• Your data. You retain ownership of all business data, lead information, and conversation content you provide or generate through the Service.
• Customer data. You are responsible for obtaining appropriate consent from your website visitors and customers for data collection by the AI agent, in compliance with all applicable privacy laws (including CCPA, GDPR, and any other relevant regulations).
• Data processing. Conversation data is processed by Google's Gemini AI API. By using the Service, you acknowledge that conversation content is sent to third-party AI providers for processing.

8. Intellectual Property

CatchLead and its licensors retain all rights, title, and interest in and to the Service, including all related intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

9. Service Availability

CatchLead strives for high availability but does not guarantee uninterrupted service. We are not liable for any downtime, whether scheduled or unscheduled, or for any loss resulting from service interruptions. The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CATCHLEAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Termination

CatchLead may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service immediately ceases. Sections 2 (AI Disclaimer), 3 (Limitation of Liability), 4 (Indemnification), and 10 (Disclaimer) survive termination.

12. Modifications to Terms

CatchLead reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
